BOI (beneficial ownership)
Under FinCEN's March 2025 interim final rule, companies formed in the US (domestic reporting companies) and US persons are exempt from filing a Beneficial Ownership Information (BOI) report. Only entities formed outside the US and then registered to do business in a US state must report.

- Only a foreign-formed entity that registers to do business in a US state falls under the reporting requirement (and its US-person beneficial owners are exempt from being reported).

Bank account
Your US business bank account isn't tied to your formation state or entity type — you need an EIN and your formation documents.
- Most non-US founders open through a fintech — Mercury, Brex, Wise, Payoneer, Relay — fully online with your EIN and formation docs; no US travel or SSN required.
- A traditional branch account generally requires visiting the US in person. Be wary of providers who claim to open a physical-branch account remotely.
- Approval is always the provider's decision, and every provider runs beneficial-owner (KYC) checks regardless of your state or entity type.
Tax filing — two layers
US companies file on two levels: a federal return with the IRS, plus (where you have nexus) a state return and annual report. Here's what applies.

- Foreign owner: file Form 5472 attached to a pro-forma Form 1120 by April 15 (info return, usually no tax) — a $25,000 penalty applies if you skip it.
- US owner: report the business on Schedule C with your Form 1040; self-employment tax (15.3%) applies.
