Terms of Service

ConnectingMatrix provides clerical business-formation and filing assistance. We prepare and submit formation documents — such as Articles of Organization or Incorporation — to the relevant Secretary of State, assist with obtaining an Employer Identification Number (EIN), and coordinate registered-agent and related support. We help founders based in the United States and abroad, including non-US founders who do not have a Social Security Number.

ConnectingMatrix is not a law firm or an accounting firm, and we do not provide legal, tax, or financial advice. Our role is to act on the instructions and information you give us and to handle the administrative filing process on your behalf.

You are responsible for the accuracy, completeness, and legality of all information you provide, including your chosen company name, entity type, state of formation, ownership details, and contact information. We rely on that information as submitted and are not obligated to independently verify it.

You agree that you are authorized to form the company you request and to bind any entity or person on whose behalf you act. You are responsible for choosing the entity type and state of formation that fit your situation — we can explain common options in plain language, but the decision, and any professional advice about it, remains yours.

You agree to use the Services only for lawful purposes. You may not use ConnectingMatrix to form or operate an entity for fraud, money laundering, sanctions evasion, or any other illegal activity, or to provide false, misleading, or stolen identity information.

We may decline, pause, or discontinue a request at our discretion — including where we are unable to verify your identity, where a filing would violate applicable law or a third party’s rights, or where a government authority rejects or flags the submission.

Government filing fees, franchise taxes, expedite charges, and similar amounts are set by the relevant state or federal authorities and are separate from any charge for our Services. These official fees are subject to change without notice by the authority that imposes them.

Some parts of the Services are delivered with the help of third parties — for example, filing agents and registered-agent providers. Banks and payment providers you apply to are independent third parties we are not affiliated with; they operate under their own terms, and we are not responsible for their acts, omissions, approval decisions, or processing times.

We prepare and submit your filings with care, but we cannot guarantee that a government authority will accept a particular name, application, or filing, or that it will do so within any specific timeframe. Processing times, name-availability rules, and approval decisions are controlled entirely by the applicable Secretary of State, the IRS, or other agencies.

Any timeframes, turnaround estimates, or examples we share are informational and not a promise of a specific result. We are not responsible for delays, rejections, or changes in requirements caused by a government authority or a third-party provider.

To the fullest extent permitted by law, ConnectingMatrix and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost data, or business interruption, arising out of or relating to the Services or these Terms — even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Services will not exceed the amount you paid to ConnectingMatrix for the specific Service giving rise to the claim. The Services and this website are provided on an “as is” and “as available” basis, without warranties of any kind except those that cannot be excluded by law.

We may update these Terms from time to time to reflect changes in our Services or applicable law. When we do, we will revise the “Last updated” date above. Your continued use of the Services after an update means you accept the revised Terms.

These Terms are governed by the laws of [GOVERNING-LAW JURISDICTION], without regard to its conflict-of-laws rules, and any dispute arising out of or relating to them will be brought in the courts located in [VENUE].
